Terms of Service

These Terms of Service ("Terms") govern your access to and use of Gridly.life (the "Service"), operated by WINALL Media, LLC. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement.

You are responsible for any account credentials you create and for all activities that occur under your account. You retain ownership of photos, text, and other content you upload or connect ("Your Content"). You grant us a limited, non-exclusive, royalty-free license to host, display, transcode, and distribute Your Content solely as necessary to operate the Service for you.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Upload content that infringes intellectual property, privacy, or other rights of third parties.
• Upload content that is illegal, defamatory, harassing, sexually explicit involving minors, or that incites violence.
• Interfere with or disrupt the Service, including by scraping, denial-of-service attacks, or attempting unauthorized access.
• Reverse engineer, decompile, or attempt to extract the source code of the Service except as expressly permitted by law.

The Service integrates with third-party services such as Google Drive. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.

The Service, including all software, design, text, graphics, and trademarks, is owned by WINALL Media, LLC or its licensors and is protected by U.S. and international intellectual-property laws. Except for Your Content, no rights are granted to you by implication.

If you believe content on the Service infringes your copyright, send a notice that complies with 17 U.S.C. § 512(c)(3) to hello@gridly.life with the subject "DMCA Notice." Repeat infringers will be terminated.

The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free.

To the maximum extent permitted by law, in no event will WINALL Media, LLCor its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of or in connection with the service. Our aggregate liability shall not exceed one hundred U.S. dollars ($100) or the amount you paid us in the prior twelve months, whichever is greater.

You agree to indemnify and hold harmless WINALL Media, LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms or applicable law.

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Provisions that by their nature should survive termination (e.g., disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction there.

Informal resolution first. Before filing any claim, you agree to contact us at hello@gridly.life and try to resolve the dispute informally for at least 30 days.

We may update these Terms from time to time. The "Effective date" shows when they were last revised. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
